These Terms & Conditions ("Terms") govern your access to and use of the EconSwarm website and forecasting workbench (the "Service") provided by EconSwarm ("EconSwarm", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who you are contracting with

The Service is provided by EconSwarm. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you are using it as an individual, you confirm you are of legal age in your jurisdiction.

EconSwarm is a multi-agent AI engine for macro and asset-path forecasting, including workbench tooling for scenario simulation, graph memory and report generation. Features vary by plan.

You must provide accurate information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account.

6. Intellectual property

EconSwarm and its licensors retain all right, title and interest in and to the Service, including software, documentation and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your selected plan.

You retain rights in the content you upload ("User Content"). You grant us a limited licence to host, process and display User Content solely to provide and improve the Service.

7. Payments, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms together with our Refund Policy.

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel any time via Paddle's customer portal or your account page; you keep access through the end of the then-current billing period.

8. Service level

We aim to keep the Service available but do not guarantee that it will be uninterrupted, timely, secure or error-free.

9. Warranties and disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental or special damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law.

11. Indemnity

You will indemnify and hold EconSwarm harmless from claims arising out of your User Content, your unlawful use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we will provide a reasonable window for export of your data where feasible, after which data may be deleted.

13. Changes

We may update these Terms from time to time. Material changes take effect on notice via the Service or email; continued use after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws applicable at EconSwarm's place of establishment, without regard to conflict-of-laws principles. Courts located at that place have exclusive jurisdiction, except where mandatory consumer-protection law provides otherwise.

15. Assignment; force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
